Terms & Conditions

1. The promoter of the competition is Urban Smile Operations Pty Ltd. ABN 13 652 955 069 (Urban Smile), in the state of Victoria Australia (Promoter).
2. Information about how to enter the competition, and the prize available, forms part of these Terms and Conditions. Participation is deemed to be acceptance of these Terms and Conditions.
3. The competition is titled Urban Smile O-Week 2025 and will take place across three (3) events:
   • Deakin University O-week event to be held on 25 February 2025;
   • RMIT Brunswick O-week event to be held on 25 February 2025; and
   • RMIT city O-week event to be held on 26 February 2025.

It commences at 12.01am on 25 February 2025 and ends at 11.59pm on 26 February 2025 (Competition Period).

4. In order to enter the competition, customers must, during the Competition Period, and when attending the relevant event set out in clause 3 above, sign up to the Urban Smile newsletter by completing their details using the QR code on display at the relevant event, on the respective dates set out in clause 3 (the Entry Criteria).
5. Entry and participation in this competition is only open to customers who are over the age of 18 years, subject to these Terms and Conditions.
6. The Promoter reserves the right to, at any time, verify the validity of entries, (including their identity and completion of the Entry Criteria) and to disqualify any entrants whose entry is not submitted in accordance with these Terms and Conditions, or who otherwise tampers with the entry process. Errors and omissions will be accepted at the Promoter’s absolute and unfettered discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.
7. Incomplete or indecipherable entries will be deemed invalid.
8. Out of the eligible entrants, three (3) winners will be drawn by the Promoter via a random prize draw, with one (1) winner per event set out in clause 3 above. Each winner will receive an in-chair teeth whitening treatment to the value of AUD$480 (Prize).
9. Any ancillary costs, including any other costs associated with receiving the Prize, are not included.
10. If the Prize winner is under the age of 18, the Prize will be forfeited.
11. The Prize is not transferable or exchangeable and cannot be redeemed for cash. The Prize is to be awarded by the Promoter in its absolute discretion.
12. Entrants acknowledge that all material gathered and produced as a result of their entries will be owned by the Promoter.
13. The winners will be notified by 3 March 2025 by telephone or by any other method at the Promoter’s discretion. The prize is to be used by no later than 30 May 2025. If the winners fail to use the prize by this date, the Prize will be forfeited.
14. The Promoter’s decision is final in all aspects of this competition and no correspondence will be entered.
15. Entrants warrant and agree that they will comply with all applicable laws and regulations, including without limitation, those governing privacy, publicity and the access or use of any other persons’ computer, technology or communication systems.
16. The winners consent to have before and after photographs taken of their teeth which will be used on the Urban Smile Website and on Urban Smile’s social media channels (Content) at Urban Smile’s discretion. The winner warrants and agrees that with regards to the Content, unless the Promoter advises otherwise, the winner grants the Promoter, its affiliates and sub-licensees a non-exclusive, royalty-free, perpetual, worldwide, irrevocable, and sub-licensable right to use, reproduce, modify, adapt, publish and display such Content for any purpose in any media, without compensation, restriction on use, attribution or liability. The entrant agrees not to assert any moral rights in relation to such use. The entrant warrants that they have the full authority to grant these rights.
17. Please note in-chair teeth whitening is not suitable for all individuals. It cannot be performed on pregnant or lactating women and those individuals with veneers or composite bonding. It will only be effective on natural teeth and extrinsic stains. Teeth whitening is not permanent, and the degree of whiteness will vary from individual to individual depending on the condition of the teeth.
18. Without limiting any other terms herein, the entrant will fully indemnify the Promoter for any breach of these Terms and Conditions.
19. If the competition is interfered with or frustrated in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoter, including but not limited to technical difficulties, unauthorised intervention or fraud, the Promoter reserves the right, in its sole discretion, to the fullest extent permitted by law:

• to disqualify the entrant; and/or
• to modify, suspend, terminate or cancel the competition.

20. Nothing in these Terms and Conditions limits, excludes or modifies or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act 2010 (Cth) (Non-Excludable Guarantees).
21. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter, their related entities, associates, affiliates and each’s respective officers, employees and agents (each a Relevant Person) excludes (and exclude) all liability (including negligence), for any personal injury or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising out of or in connection with, the Promotion or these Terms and Conditions, and/or any of the following:

(a)        technical difficulties or equipment malfunction (whether or not under the Promoter’s control);

(b)       theft, unauthorised access or third-party interference, whether with an entrant’s or winners Entry Form or otherwise;

(c)        any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter) for any reason beyond the reasonable control of the Promoter;

(d)       any variation in the prize value to that stated in these Terms and Conditions (if applicable);

(e)        any tax liability incurred by a winner; and/or

(f)        taking of or use of any prize by a winning entrant.

22. The Promoter collects personal information in order to conduct the competition and may, for this purpose, disclose such personal information to third parties, including but not limited to agents, contractors and service providers and use the personal information for the purposes described in these Terms and Conditions and the Promoter’s Privacy Policy. Entry by an eligible entrant is conditional upon them providing this information to the Promoter. The Promoter’s Privacy Policy is available at https://urbansmile.com.au/privacy-policy/. In addition to the purposes stated in the Privacy Policy, the Promoter may, for an indefinite period, unless otherwise advised, use the personal information for promotional, marketing, publicity, research and profiling purposes, subject to applicable privacy laws and regulations. All entries become the exclusive property of the Promoter.
23. The laws of the State of Victoria, Australia apply to the Promotion and these Terms and Conditions to the exclusion of any other law. Eligible entrants submit to the exclusive jurisdiction of the courts of the State of Victoria, Australia.

1. This offer is for Entrants to win monthly Prizes in the Promoter’s Monthly Draw, during the Competition Period (Competition).

2. The following definitions apply to these terms and conditions:
   • Competition Period means the period commencing on October 4, 2024 at 12:00am AEST and ending on 31 December, 2025 at 11:59pm AEDT;
   • Entrant or You means a person meeting the Eligibility Criteria in clause 3 who enters the Competition;
   • Employees means an employee, contractor or service provider to the Promoter or its affiliates and subsidiaries (including the Promoter’s advertising and promotion agencies as well as suppliers);
   • Prizes means a monthly prize of one (1) Urban Smile merchandise pack valued at $60, and a Visa gift voucher valued at AUD$50, with a total estimated value of AUD$110 including GST. There are 6 prizes to give away during the Competition Period; and
   • Promoter means Urban Smile Pty Ltd A.C.N 652 955 069 of 747 Glenferrie Rd, Hawthorn, Victoria 3122 in the State of Victoria, Australia (Premises).

3. To enter the Competition, You must:
   • be an Australian resident;
   • be over the age of 18 years old;
   • not be an Employee or an immediate family member of the Employee and/or not be living in the same household as the Employee;
   • be a current or past patient of the Promoter; and
   • otherwise comply with these Terms and Conditions.

(Eligibility Criteria)

4. To enter the Competition, the Entrant must, during any calendar month of the Competition Period (between the first and last day of the calendar month):
   • post a photo or video showcasing part of their own Urban Smile treatment journey on either Instagram or Facebook (feed post or story). The photo or video must be an original photo or video owned by the Entrant and be visible and public (on an open social media profile) at the time the entry is drawn; and
   • tag the post with #DreamSmilesDoneRight or tag @urbansmileaus;

(Entry Criteria).

5. Entrants may enter the Competition more than once however each entry must be a relevant, new and unique post (one (1) post = one (1) entry). One winner will be selected each month during the Competition Period.

6. For each monthly Prize:
   • The Promoter will select the most inspiring entry based on creativity, originality and alignment with the values of the Promoter’s brand;
   • the Promoter will select and notify the Entrant of the Prize they have won on the first Monday of the following month that is a business day;
   • the notification will be received via direct message on the platform through which the Entrant submitted their entry;
   • the winner is to then provide their contact details (email address and shipping details); and
   • the Prize will be shipped to the winner in Australia (at no cost to the winner) within 7 business days after confirmation of the winner’s contact and shipping details. The visa gift voucher will be sent via email at the same time.

General

7. The Competition is a game of skill. Chance plays no part in determining the winners of the Prizes.
8. The Prizes may not be used in conjunction with any other offer or discount.
9. The Promoter reserves the right to, at any time, verify the validity of entries, (including their identity, eligibility as an Entrant, and completion of the Entry Criteria) and to disqualify any entrants whose entry is not submitted in accordance with these Terms and Conditions, or who otherwise tampers with the entry process. Errors and omissions will be accepted at the Promoter’s absolute and unfettered discretion. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.
10. Incomplete or indecipherable entries may be deemed invalid.
11. The Promoter reserves the right to disqualify any inappropriate or irrelevant content.
12. The winners of any of the Prizes in the Competition consent to the Promoter or its promotional partners using their name, likeness, image and/or voice in marketing (including photograph, film and/or recording of the same) in any media for an unlimited period without remuneration for the purpose of promoting this Competition. The Entrant grants the Promoter a non-exclusive, royalty-free, perpetual, and irrevocable right to use, modify, reproduce, and distribute their submitted content in any format or media, including but not limited to social media, websites, digital marketing, print marketing, and paid advertising.
13. Any ancillary costs, including but not limited to delivery or other costs associated with receiving any Prizes, are not included and are the responsibility of the Entrants.
14. If the winner of any of the Prizes is under the age of 18, the Prizes will be forfeited.
15. The Promoter is not responsible for any delays, damages, or lost shipments once the prize has been handed over to the shipping provider.
16. The Prizes to be awarded to Entrants will be determined by the Promoter on a monthly basis at the sole and absolute discretion of the Promoter, and are subject to change at the Promoter’s sole and absolute discretion.
17. The Promoter may change or cancel the Competition and/or the Prizes at any time, subject to laws.
18. The Prizes are not transferable or exchangeable and cannot be redeemed for cash or any other currency. Prizes may be awarded by a provider or merchant selected by the Promoter in its absolute discretion. Prizes may be subject to the terms and conditions of each individual service provider.
19. To redeem the Prizes, the Entrant must agree to and sign any disclaimers or agreements that may be required by the Promoter at its sole and absolute discretion.
20. It is the sole responsibility of the Entrants to provide their updated contact details for ease of correspondence and prize notification. If the Promoter is unable to contact any of the Prize winners at the details provided within 48 hours of the Promoter’s initial contact, the Prize will be forfeited and the Promoter reserves the right to select an alternate winner.
21. Entrants acknowledge that any material gathered and produced as a result of their entries will be owned by the Promoter.

Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Promoter, their related entities, associates, affiliates and each of their respective officers, employees and agents (each a Relevant Person) excludes (and exclude) all liability (including negligence), for any personal injury or any loss or damage (including loss of opportunity), whether direct, indirect, special or consequential, arising out of or in connection with, the Competition or these Terms and Conditions, and/or any of the following:

2.  The Offer is available to all customers of Urban Smile; 

3.  To redeem this offer, you must present the Offer flyer in person at an Urban Smile Studio; 

4.  You are required to attend an initial consultation to assess your eligibility for the service/s you wish to obtain;  

5.  Please note that: 

(a) in-chair whitening is only available to customers ages 18 years or over, subject to eligibility; and

(b) swarovski tooth gems are only available to customers aged 16 years or over, subject to eligibility; 

6. To receive the Offer, you must pay for the service in full (in one transaction). The Offer is not redeemable on the payment of a deposit or any other part payment for the service;  

7. The offer may not be used in conjunction with any other offer/s, unless otherwise specified;

8. The Offer is not transferrable or exchangeable and cannot be redeemed for cash, credit or other treatments; 

9. The price of Urban Smile services may vary from time to time; 

10. Subject to applicable laws, Urban Smile may vary, update or terminate the Offer at any time; and

When your friend mentions your name at one of our Urban Smile Studios to book and commence treatment: 

 you will receive a $250 Visa gift card; and 

your friend will receive a discount of $250 on their Urban Smile treatment, 

 subject to the terms and conditions set out below. 

 Your friend must be a new customer of Urban Smile. A new customer is an individual who has not previously received a treatment from Urban Smile and may include a family member (New Customer);  

 This offer must be redeemed by you and the New Customer in person at an Urban Smile Studio; 

 The New Customer must mention your name as the referrer;

A. General

1. This policy (together with the documents referred to in it, particularly the Privacy Policy) sets out the terms and conditions upon which Urban Smile Pty Ltd A.C.N 652 955 069 A.B.N 13 652 955 069 and any of its subsidiaries, affiliates, employees, officers and agents (Urban Smile, we, us, our) will supply to the patients (you, your) various products and services as described on our website www.urbansmile.com.au (Website) or at our Urban Smile studios (together the Terms).

2. You should review these Terms (including the Privacy Policy which can be found here) carefully. If you do not agree to these Terms, you should immediately cease using our Website. You should understand that by seeking any of our services and purchasing any of our products, you agree to be bound by these Terms.

B. Provision of Services and Payment

3. Urban Smile may, at its absolute discretion, provide products and services to you at your request.

4. Please note that, at our absolute discretion, we may ask you to provide a deposit prior to confirming your appointment time. You will otherwise be asked to make payment of any products and services at the time those products and/or services are provided to you.

5. Payment for products and services may be made by credit card or “buy now pay later” financing including but not limited to Humm. Please note Humm is not a service provided by Urban Smile. Humm is a facility offered by Humm Group Limited. If you would like to know more about Humm, please visit the Humm website www.shophumm.com.

C. Cancellations and Returns

Change of Mind

6. If you change your mind about our services within 72 hours from signing up for the service, we will refund your payment in full to your card of purchase. Outside of that 72-hour period, we are not able to offer you a refund at all. Please note if Humm or another third-party facility is used for payment then the refund terms and conditions of that service provider will apply.

Clear Aligners

7. If you not happy with your clear aligners for any reason within the first 30 days, you can return your unused aligners and we will provide a refund, less any lab fees or manufacturing costs incurred until that point of treatment (e.g. laboratory fees, manufacturing costs, dental monitoring costs, appointment fees, and transaction costs).The 30-day period begins the day you pick up your clear aligners from our studio. Please note that any return shipping costs need to be covered by you. The value of your refundable amount will be confirmed with you prior to the refund transaction. Refunds will be processed per your original payment method, or via your nominated bank account in the case of cash. For patients using “buy now pay later” financing including but not limited to Humm, please note we do not cover third party cancellation fees. Outside of that 30-day period, we are not able to offer you a refund at all.

8. Please note that any refund request may take 10 to 15 days to action and process. For more information about cancellations and returns please contact us at hello@urbansmile.com.au.

Cancellation by us

9. We may cancel any part of your products and/or services without any liability for that cancellation at any time if we are not able to supply the products or the services, for whatever reason.

10. If we do so, then we will endeavor to provide you with reasonable notice of that cancellation and will refund you the price paid for any products and/or services which we are not able to supply.

D. Warranties and Disclaimers

11. To the maximum extent permitted by law, including the Australia Consumer Law, we make no warranties or representations about the Website or its content, including but not limited to warranties or representations that they will be complete, accurate or up-to-date, that access will be uninterrupted or error-free or free from viruses, or that this Website will be secure.

12. We reserve the right to restrict, suspend or terminate without notice your access to the Website, any Content, or any feature of this Website at any time without notice and we will not be responsible for any loss, cost, damage or liability that may arise as a result.

13. The information and statements included on the Website, including information relating to dental, orthodontic and health conditions, products or treatments, is for informational purposes only and is not intended to diagnose, treat, cure or prevent any disease or dental or other health condition. Information and statements included on the Website are not intended nor is it implied to be a substitute for face to face advice or professional dental advice.

14. You expressly agree that your use of, or inability to use, the service provided at the Website is at your sole risk.

E. General Matters

15. (Use) You must be at least 18 years old to use our Website. By using our Website, or agreeing to these Terms, you warrant and represent to us that you are at least 18 years of age.

16. (Changes) We reserve the right at all times to make changes to these Terms. Any variations to these Terms will take effect immediately when published on the Website.

17. (Teeth Whitening Services) Any teeth whitening services are only offered to patients over the age of 18 years.

18. (Tailored Services) One of our specialists will determine which services are right for you, based on their expertise.

19. (Promotions) From time to time, we may have promotions running which may be viewed at our promotions page here.

20. (Reviews) From time to time, Urban Smile may send communications (via email, SMS text messages etc.) either directly or via our third-party software, requesting a review. All user reviews submitted by you in relation to Urban Smile on any forum may be used for marketing purposes, which includes publication on our website, in emails, advertisements or in other digital or print marketing literature.

21. (Disputes) Any disputes must be lodged in writing to us at hello@urbansmile.com.au explaining the details of the dispute.

22. (Events Outside Our Control) We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract that is caused by events outside our reasonable control (being a Force Majeure Event). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following: strikes, lockouts or other industrial action; civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; fire, explosion, storm, flood, earthquake, subsidence, pandemic, epidemic or other natural disaster; impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; impossibility of the use of public or private telecommunications networks; and the acts, decrees, legislation, regulations or restrictions of any government.

23. (Links to External Websites) This Website may contain links that direct you outside of this Website. These links are provided for your convenience and are not an express or implied indication that we endorse or approve of the linked Website, its contents or any associated website, product or service. We accept no liability for loss or damage arising out of or in connection to your use of these sites. You may link to our articles or home page. However, you should not provide a link which suggests any association, approval or endorsement on our part in respect to your website, unless we have expressly agreed in writing. (Information Collection) Use of information you have provided us with, or that we have collected and retained relating to your use of the Website and/or the services, is governed by our Privacy Policy. 25. (Confidentiality) All personal information you give us will be dealt with in a confidential manner in accordance with our Privacy Policy. However, due to circumstances outside of our control, we cannot guarantee that all aspects of your use of this Website will be confidential due to the potential ability of third parties to intercept and access such information.

(Liability) To the maximum extent permitted by law, including the Australia Consumer Law, in no event shall we be liable for any direct and indirect loss, damage or expense – irrespective of the manner in which it occurs – which may be suffered due to your use of our Website and/or the information or materials contained on it, or as a result of the inaccessibility of this Website and/or the fact that certain information or materials contained on it are incorrect, incomplete or not up-to-date.

(Severability) If any of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

28. (Collection Statement) We collect personal information about you in order to facilitate the products and services we provide to you for purposes otherwise set out in our Privacy Policy. When you browse our Website, we also automatically receive your computer’s internet protocol (IP) address in order to provide us with information that helps us learn about your browser and operating system. With your permission, we may send you emails about our products and services and other updates. We may disclose that information to third parties that help us deliver our Products (including information technology suppliers, delivery suppliers and our business partners) or as required by law. If you do not provide this information, we may not be able to provide all of our products and services to you. By providing your personal information to us, you consent to the collection, use, storage and disclosure of that information as described in our Privacy Policy and these Terms.

29. (Consent) You (or in the case of children, the Parent/ Guardian):

(a) consent to receiving regular updates on Urban Smile’s special offers, products and services via email, post, telephone and SMS and other channels which are used by Urban Smile from time to time;

(b) give permission for Urban Smile to use photos and/ or video footage of you (and/or your child) for the purpose of promoting and marketing Urban Smile and its work. This includes photos and/or video footage that you may take. You understand that the photos and/or video footage may be used by Urban Smile in a variety of marketing materials, publicity, promotion and advertising purposes both online and in print. You give permission for the photos and/ or video footage to be used in full or any edited form. Any mentions will include your first name only;

(c) you waive any rights and claims, present and future, to any fees or royalties or other benefits whatsoever for or in connection with use of the photos and/ or video footage; and

(d) if you wish to withdraw permission for the photos and/ or video footage to be used, you will do so in writing and understand that if you do so, Urban Smile will cease any future new publication or use of the images, but for several years the images may appear in printed and electronic materials that have already been produced or disseminated. You understand and agree that, despite those efforts, the images may still be published or disseminated.

30.
